Project Overview and Role

 Palladium is seeking a Transaction Adviser for the Jobs for Economic Transformation in Ghana (JET) Programme, funded by the UK Foreign, Commonwealth and Development Office (FCDO). The programme is FCDO Ghana’s flagship investment-led job creation programme to support Ghana’s industrialisation agenda. It seeks to leverage increased investments into the pharmaceutical, automotive and textile and garment sectors, and introduce new technology and management capabilities, increasing the capabilities of the workforce generating formal employment and economic diversification.

 Primary Duties and Responsibilities: 

The Ghana JET programme is seeking a dynamic, action-orientated Transaction Adviser to assist a mid-sized e-automotive business in securing financing through both debt and equity to support its growth and operational needs.

The Transaction Adviser’s support will build on previous work undertaken in delivering financial modelling and business planning support. This foundation work was underpinned by market overviews/ analysis within this sector.

The JET programme has over the last 2 years supported the business through technical assistance and grants and this is the right point in its growth to seek financial investment into the business enable them to develop an e-vehicle and increase production of their e-bike fleet.

About the Business

This JET supported business is the first manufacturer of electric bicycles in Ghana and the development of an e-vehicle. The company is transforming the last-mile delivery sector, addressing the challenges of expensive, unreliable, and highly polluting transportation in Ghana’s capital city, Accra.

The business has a manufacturing facility in Ghana and has developed its own technology platform for delivery riders to secure work. The company recently closed a successful $8 million investment round, signalling strong investor confidence in its vision.

The company is currently seeking debt facility of $10million to support trade and asset financing and an Equity raise of $1million for app development and new market expansion.

Scope of Work
Market Analysis

Conduct through market research on the pharmaceutical and vaccine industry to identify potential investors and funding sources, both regionally and globally.Analyse current market dynamics, trends and opportunities with the Ghanaian vaccine market.

Financial Assessment

Evaluate the company’s current financial position, including cash flow, profitability and funding requirements.Develop financial models to project future growth and funding needs.

Funding Strategy Development

Formulate a comprehensive funding strategy that incorporates both debt and equity financing.Identify suitable debt instruments e.g. loans, bonds and equity options e.g. private placements, venture capital etc.
Develop a timeline of activities with key fundraising events.

Investor Engagement

Prepare investor pitch materials, including presentations and executive summaries.
Identify and approach potential investors, lenders, partners and events.

Negotiation Support

Assist in negotiations with potential financiers to secure favourable terms of debt and equity arrangements.
Provide guidance on term sheets and legal documentation.

Regulatory Compliance

Ensure compliance with relevant regulatory requirements for fundraising in Ghana.
Assist in the preparation and submission of necessary documents to regulatory bodies.

Monitoring and Reporting

Provide weekly and quarterly reports and input into investment dashboards on progress, challenges, and market conditions.
Adjust strategies as necessary based on feedback and market developments.

Deliverables: 

Quarter 1 - Foundation and Analysis: 

Market Research Report: Comprehensive analysis of the E-Automotive industry in Ghana.Financial Assessment: Detailed evaluation of the company’s financial health and funding requirements.Initial Funding Strategy: Draft of a preliminary funding strategy for discussion.Final Funding Strategy: Complete final funding strategy

Quarter 2 - Strategy and Engagement: 

Investor Pitch Materials: Development of professional materials for investor engagement.
List of Potential Investors: Identification of at least 10 potential investors and lenders.

Quarter 3 - Outreach and Negotiation: 

Investor Engagement: Initiate contact with identified investors and lenders, with at least 3 formal presentations arranged.Negotiation Support: Assist in negotiations with at least 2 interested parties providing term sheet evaluations and recommendations

Quarter 4 - Closing and Review:

Funding Arrangements: Finalise at least one debt or equity arrangement. Regulatory Compliance Checklist: Ensure all necessary regulatory approvals and documentation are completed. Final Report: Comprehensive report summarising achievements, lessons learned, and recommendations for future funding strategies.

 Required Qualifications:

 Proven experience in financial advisory, investment banking, or consulting within the automotive sector (preferable but not essential).Strong understanding of debt and equity financing processes.Track record of delivering debt and equity instruments for mid-sized businesses.Excellent negotiation and communication skills.Familiarity with Ghanaian regulatory requirements related to fundraising (preferable not essential)


Location: Flexible, some travel to Ghana will be required. 

Fees: Negotiable success fee.

Duration: 12 months to start as soon as possible.
