Job Title: Subsidiary Compliance Senior Analyst
Location: Atlanta, GA (hybrid – 4 days/week onsite)
The Subsidiary Compliance Senior Analyst works with a dynamic and collegial team of attorneys and paralegals in a supportive environment focused on teamwork, performance and responsibility. The Subsidiary Compliance Senior Analyst oversees subsidiary maintenance and management of a global network of NCR Atleos entities, manages related disclosure and compliance reports, and supports NCR Atleos’ Disclosure Committee.
Key Areas of Responsibility:
Maintain domestic corporate records, including minute books and general records.
Coordinate and document annual general meetings of domestic subsidiaries and prepare and assist with annual corporate filings.
Maintain and provide training on NCR Atleos’ electronic subsidiary database.
Coordinate as needed with NCR Atleos’ counsel and personnel who manage subsidiary maintenance and governance matters outside the U.S., including annual general meetings and annual financial statement approvals.
Support and assist NCR Atleos’ Tax and Corporate Law teams in connection with special projects, including legal entity mergers, dissolutions, formations and rationalizations.
Assist with, obtain and distribute notarizations, apostilles, legalized documents, certified copies, corporate filings and other corporate documents.
Support quarterly and annual compliance reporting with respect to subsidiaries.
Assist with regular SOX compliance and audit processes, including Disclosure Committee support and drafting Committee minutes.
Assist in M&A activities relating to subsidiary management, including corporate due diligence, closing process, post-closing matters and record-keeping.
Adhere to document filing policies and procedures in the Law Department.
Special projects or other related duties may be assigned.
Basic Qualifications:
Bachelor’s degree
3+ years of experience in subsidiary management; experience within a major law firm or in-house with a public company preferred
High proficiency in Microsoft Word, Excel and PowerPoint
Able to work independently and manage multiple ongoing projects in a fast-paced, dynamic environment
Detail-oriented with strong organizational skills
Excellent written and oral communication skills, with ability to think outside the box and make complex challenges appear simple
Able to instill confidence and interact with colleagues at all levels in a positive and professional matter
Demonstrates strong judgment as to priority of matters
High level of integrity and business ethics
