A reputed Tier 2 law firm is seeking an experienced and driven Principal Associate to join its Mergers & Acquisitions, Private Equity, Venture Capital, and General Corporate team in Mumbai and Delhi.

Key Responsibilities Leading and managing complex M&A, private equity, and venture capital transactions, including structuring, drafting, and negotiating transaction documents (SPAs, SHAs, investment agreements, JV agreements, etc.). Advising clients on cross-border and domestic acquisitions, strategic investments, and exits. Conducting legal due diligence and preparing detailed reports. Managing regulatory approvals and compliance requirements under Indian corporate, securities, and foreign exchange laws. Advising on general corporate matters, including company incorporation, corporate governance, and compliance issues. Handling joint ventures, strategic alliances, and restructuring matters. Supervising and mentoring junior associates within the team. Collaborating with internal and external stakeholders to ensure smooth execution of transactions. Key Requirements Qualified lawyer with 7–10 years of experience in M&A, private equity, venture capital, and general corporate matters, preferably at a leading law firm. Strong experience in handling complex and high-value transactions. Excellent drafting, negotiation, and analytical skills. Ability to manage teams and work independently under tight deadlines.
