This position supports all aspects of various international entities, including the formation, registration and maintenance of entities, crafting essential organizational documents, and ensuring compliance with international requirements. The role is a key link between various disciplines within Marriott as well as outside vendors, including local counsel, registered agents, and government authorities. The role involves meticulously managing entity records, ensuring all filings and formalities are up-to-date, and interfacing daily with various disciplines within Marriott as well as outside vendors, including local counsel, registered agents, and government authorities. The Paralegal II will also be a key contributor to various Office of Entity Management projects and facilitate the completion of transactions, restructurings and other strategic initiatives initiated across a broad range of departments and disciplines within Marriott. **CANDIDATE PROFILE** **Education and Experience** _Required_ + Four-year college degree and work experience of one year, OR Two-year college degree and minimum relevant work experience of three years, OR at least ten years of relevant work experience as a paralegal. + Proficiency in MS Word, Excel and Outlook. + Familiarity with database functionality and operation. + Ability to routinely work from the HQ office in Bethesda, currently 3-4 days/week + Availability for minimal travel and flexibility for overtime. _Preferred_ + Experience in managing and administering entities. + Strong project management skills, and ability to meet simultaneous deadlines in a fast-paced environment. + Proficiency in Blueprint or a similar entity management software, MS Word, Excel and Outlook. + Executive presence and interpersonal skills with the ability to engage with multiple disciplines and internal and external board members, collaborate effectively, work diplomatically with individuals at all levels, and foster relationships across the organization. **CORE WORK ACTIVITIES** + Coordinate the formation, registration and maintenance of Marriott entities, including but not limited to drafting appropriate articles of organization, bylaws, resolutions, minutes, powers of attorney, apostilles, legalizations, authentications and other organizational documents. + Manage and maintain all records and required documentation for Marriott entities, including but not limited to drafting and filing annual reports, providing corporate officer/director information for local filings, and providing formalities (attestations, seals, etc.) as required. Update and maintain all required corporate entity records in our entity management database. + Ensure that all entities meet local governance requirements in each jurisdiction and remain in good standing. Assist in facilitating the required filing of corporate documents with local authorities and coordinate with outside counsel, registered agents and other Marriott departments (including International Tax & Accounting Group) to ensure all filings are timely made. + Interface daily with various disciplines within Marriott as well as outside vendors, including local counsel, registered agents, and government authorities to facilitate entity maintenance, withdrawals, dissolutions, mergers and other corporate transactions and restructurings. + Key contributor to various Office of Entity Management projects, such as, entity incorporations, board meetings, director training, board member appointments and resignations, corporate restructurings, KYC requests, etc. + Identify opportunities to optimize legal entity structures, governance frameworks, and operational efficiencies; develop new processes and refine existing processes, leveraging technology solutions as available, to generate cost- and time-saving approaches across various functions and workstreams performed by the Office of Entity Management. The hourly pay range for this position is $33.94 to $50.00.
