The Corporate Governance Manager is responsible for providing advice and assistance on a wide range of global Corporate Governance matters to support Cytiva’s Corporate Governance Program.
This position is part of the Legal & Compliance Team located in any of the following: Sweden, UK, Poland, India.
What you will do:
+ Drive and ensure compliance of all of the global network of Cytiva’s Legal Entities and branches with Danaher’s Subsidiary Management Policy.
+ Lead the coordination and management of a team of local Legal Entity Record Managers who support annual compliance activities, legal entity changes, record keeping and information sharing across Cytiva’s global platform and related coordination with Danaher Corporate.
+ Assist with Company board meetings and minutes.
+ Support ad hoc Legal projects including legal entity consolidations / mergers & acquisitions, due diligence, registered office changes, legal name changes, as well as drafting and tracking Powers of Attorney.
+ Design, manage and present training sessions to help Legal & Compliance, Business Support Functions and Associates who need to know about Corporate Governance and Subsidiary Management tools and rules stay abreast of changes in process and law.
Who you are:
+ Either hold a Bachelor’s Degree (or equivalent in applicable local region) in law and/or a paralegal qualification
+ Have a relevant subject matter qualification
+ 2+ years of experience in a large law firm / corporate / business department
+ Ability to work independently in fast-paced environment with little supervision and to influence others and bring them to desired business outcomes, quickly
+ Candidate must be highly organized, computer literate, a self-starter and good at managing and prioritizing numerous projects to meet demanding deadlines
It would be a plus if you also possess previous experience in:
+ Corporate Governance
+ Company Secretarial work
